Tonucci & Partners among the law firms involved in the corporate reorganization of Terminale Gnl Adriatico (Adriatic Lng), a company operating in Italian seas at Porto Viro (Rovigo) as an offshore infrastructure for unloading, storing and regasifying liquefied natural gas. Following the agreements signed by Vtti, a Dutch energy storage company, Parola Associati and Tonucci & Partners assisted Snam in exercising the right of preemption to increase its share in Adriatic Lng from the current 7.3% to 30%. Giorgio Alù Saffi and Giovanni M. Pallone of Tonucci & Partners assisted Snam with regard to antitrust issues. Snam’s internal legal team was made up of Umberto Baldi, Salvatore Branca, Alessandro Rizzi and Roberta di Mauro. The transaction is expected to close by the end of 2024 and, among other aspects, is subject to necessary regulatory and antitrust approvals. At closing, the share capital of Adriatic Lng will be owned by Vitti at 70% and by Snam at 30%.
