SARA LUDOVICA PAGANO

She has been with the Firm since 2024.
She advises Italian and international companies, investors, investment funds and industrial players on domestic and cross-border M&A transactions, including acquisitions, disposals, joint ventures and corporate reorganisations, with particular experience in the industrial, energy and infrastructure sectors.
She drafts and negotiates transaction documentation, including share purchase agreements, investment agreements, joint venture agreements, shareholders’ agreements and related ancillary documents.
She conducts buy-side and vendor-side legal due diligence and assists clients throughout the signing, closing and post-closing stages.
She also provides ongoing corporate and commercial advice, with particular focus on commercial contracts, corporate governance and corporate secretarial matters.
Prior to joining the Firm, she gained experience in the Corporate M&A departments of leading Italian law firms and at a leading notarial firm, where she worked on M&A and Real Estate matters, as well as in-house at a leading Italian listed company, where she advised on commercial contracts and corporate law matters.
She contributed to the publication “Fondamenti di corporate governance nelle società italiane”, by Alessandro Varrenti, Giuffrè Francis Lefebvre, 2025.

EDUCATION

Law Degree from Roma Tre University, with a profile on Law and Finance.
Dissertation in Commercial Law on Warranty & Indemnity insurance policies in share purchase agreements.
Erasmus+ Programme at Universidad de Buenos Aires (UBA)
