Tonucci & Partners assisted the shareholders of Aplos S.p.A., which is a company dealing with multi-utility services in its quality of specialized operator in the reselling of utilities such as electricity, gas and telecommunications, in the sale of a majority shareholding between 51% and 100% of the relevant share capital to CHL S.p.A., a company listed on the MTA of the Italian Stock Exchange. The transaction provides the contribution in the share capital of CHL S.p.A of the relevant quotas by GMC S.r.l., GSG S.r.l. and the other shareholders of Aplos S.p.A., as payment of a capital increase, with pre-emption rights excluded, reserved to the above mentioned shareholders, to be executed as agreed. The shareholders of Aplos S.p.A. have been assisted by Mr. Piergiorgio Sposato and Mr. Francesco Bianchi of Tonucci & Partners for all corporate and contractual aspects.
